Terms & Conditions for all Customers & Resellers
The information you provide to Plastic Passport is kept completely confidential and is used for the sole purpose of authorising Your application and providing Plastic Passport's Goods and Services to You. Please make sure that You READ and AGREE to the Terms & Conditions set out below.
By accessing the Plastic Passport website and by purchasing Plastic Passport’s Goods and Services you agree to be bound by these Terms & Conditions which apply to all of Your dealings with Plastic Passport.
Subject to any Prescribed Terms, these Terms & Conditions, together with a relevant Customer Order, Proofing Sheet and Order Confirmation constitute all of the terms and conditions of Contract between Plastic Passport and the Customer and supersede all other agreements and/or understandings, unless expressly agreed to by Plastic Passport in writing.
In these Terms & Conditions and any Contract to which they apply:
- "Accessories" means Card and Printer Consumables offered for sale from time to time on the Plastic Passport website;
- "Contract" means any contract between Plastic Passport and the Customer for or in connection with the sale and purchase of Goods and/or Services;
- "Customer" means any person or corporation who buys or has agreed to buy Goods and/or Services from Plastic Passport;
- "Customer Order" means the official Plastic Passport Customer Order Form on its website;
- "Goods" means customised laminated plastic cards and Accessories sold or to be sold by Plastic Passport to a Customer;
- "Order Confirmation" means a document with that title issued by Plastic Passport formally accepting an order for Goods and/or Services from a Customer;
- "Prescribed Terms" means any terms, conditions and warranties which the law expressly provides may not be excluded, restricted or modified, or may be excluded, restricted or modified only to a limited extent in the Contract;
- "Proofing Sheet" means the official Plastic Passport Proofing Sheet on its website;
- "Services" means customisation, personalisation, printing and delivery of laminated plastic cards by Plastic Passport to a Customer;
- "Plastic Passport" means Plastic Passport or any other company associated with or related to Plastic Passport which accepts a Customer Order by issuing of an Order Confirmation;
- "Plastic Passport Website" means www.plasticpassport.com;
- "Standard Specifications" means Plastic Passport’s standard specification for Goods and/or Services current at the time Goods and Services are delivered to a Customer;
- "You" and "Your" means and refer to a Customer;
- "We" and "Our" means and refers to Plastic Passport.
In these terms and conditions headings are provided for convenience only and do not affect the interpretation.
All Customer Orders must be lodged by the form of the Customer Order on the Plastic Passport Website and are subject to acceptance by Plastic Passport. No Contract between Plastic Passport and the Customer comes into existence until Plastic Passport issues an Order Confirmation in relation to the order.
No variation of these Terms and Conditions will be effective unless it is in writing and signed by Plastic Passport.
Payment
The Customer must pay each Invoice by EFT 30 days net after the Invoice Date. Visa™ and MasterCard™ only are accepted for card payment. If full payment has not been received within the given 30 day period, You authorise Plastic Passport to process the outstanding balance using card details provided in your Reseller Application. Ownership of Goods does not pass to the Customer until payment has been received in full.
Time for payment of the price of Goods and Services is the essence of the Contract.
If the Customer fails to pay any money when it is due to Plastic Passport, Plastic Passport may treat the Contract as repudiated by the Customer and may, until payment in full is made, suspend delivery of the Goods and Services which are the subject of and Contract between Plastic Passport and the Customer without incurring any liability whatsoever to the Customer. In addition, without prejudice to any other rights Plastic Passport may have, the Customer must (if required by Plastic Passport) pay interest to Plastic Passport on the amount of any outstanding invoice at the rate of 18% per annum until all invoices have been paid.
Cancellations & Refunds: Due to the customised nature of the type of Good and Services We manufacture, no refunds will be granted once we begin processing your order. Refunds may be given in the sole discretion of Plastic Passport. No partial refunds will be given for work not completed. Plastic Passport is not responsible for any loss of revenue or any other losses associated with a Customer’s intended use of the ordered materials.
Goods & Services Tax (GST) will be charged on all Goods and Services attracting GST at the applicable rate.
Customer Order: You may place your Customer Order by completing the Customer Order Form on the Plastic Passport Website.
Proofing: It is mandatory for every Customer Order to be accompanied by a completed Proofing Sheet before production can begin. Once a proof is approved and print production commences, We cannot cancel the order or provide a refund. Hard copy proofs are available upon request, however a charge will apply and may result in a delayed or extended delivery time.
Artwork: Every order has a nominal 1 hour setup/artwork charge included in our price to You. Any order requiring more than 1 hour of set/artwork will incur a further charge per additional hour or part thereof. Artwork may be forwarded by email directly to production@plasticpassport.com. Please refer to the artwork guidelines located www.plasticpassport.com/documents before you forward your graphics.
Artwork Indemnification: By providing artwork material to Plastic Passport You warrant and represent to Plastic Passport that You have proper authorisation necessary to reproduce any copyrighted, patented, trademarked or other intellectual property. By submitting production artwork You also represent and warrant to Plastic Passport that You are the legal owner and/or licensee of all artwork submitted and You indemnify and release Plastic Passport from any legal liability arising out of or in connection with any violation or infringement of any person or entity’s intellectual property rights.
Production: Production will only start when: (a) all print-ready artwork is uploaded; (b) and You have completed a Proofing Sheet. The production timetable for orders and/or proofs approved after 12.00 noon EST is counted as starting on the next business day. While We make every effort to meet Your nominated delivery date, unforeseen delays in delivery services, breakdown of equipment, illness, inclement weather and other unforeseen occurrences may affect Our ability to meet that deadline. We will not be held liable for any damages, claims, injuries and or losses or for any other reason whatsoever in the purchase of plastic cards, printed, and or unprinted media of any type. All cards are shipped, delivered and received as is and ownership of the goods is only transferred once payment has been received in full.
Business Days: Production schedules are prepared excluding Saturdays, Sundays and Public Holidays. These days are NOT included when calculating the production timetable for a Customer Order. If a special production timetable is required then this must be indicated in advance on the Customer Order and be accepted on the Order Confirmation. (A 20% surcharge may apply in the event a special production timetable is required).
Over & Under-runs: Due to the variability of our standard off-shore printing requirements for large volume orders, we maintain the right to ship 5% over or under the quantity requested on screen printed orders and 10% over and under on offset orders. Our invoice to you will be pro-rated and will be considered as a completed order. If an exact quantity is required, we will comply for a surcharge of 5% of the total order on screen printed jobs and 10% on offset jobs. If You will accept under's but NO over’s We will complete Your order for an additional charge of 3% on both offset and screen printed jobs.
Self Personalisation: If You plan to enhance Your card order by encoding on a magnetic stripe, embossing, typing or writing on a panel, please notify Plastic Passport prior to the start of your job. (We want to ensure the appropriate materials are used).
Ink Matching: We are unable to offer colour guarantees for processes not within our control. We accept no responsibility for colour variations between submitted images and the actual artwork or product they represent.
Reprints: If Your order is a reprint and requires exact colour matching to a previous order, You must supply an actual card as a sample to ensure a satisfactory colour match can be achieved.
Delivery & Shipping: A Delivery timeframe will be confirmed before the start of production. If a rush service is required a 20% surcharge may apply. All delivery dates requested and accepted will be noted on the Order Confirmation. All orders are shipped from our Brisbane based office at local freight delivery charges. Any and all changes required to shipping address or method must be submitted by email to delivery@plasticpassport.com. As soon as your order is given to the nominated carrier for delivery it is at Your risk. Any claims for lost or damaged property must be made to the carrier directly by the customer. Please note that the transit time for shipping is ALWAYS additional to the production timetable and it is therefore advisable to take this into account when placing an order. In any event, Plastic Passport is not liable for any product delivery and for any damage, losses, injuries and claims. Alternative Shipping Labels: We will ship directly to your customer with your shipping labels providing adequate labels are furnished with your order. If shipping labels are not supplied, we will use our usual shipping labels.
Pricing: Pricing and product offerings may change at any time without notice.
In-between Quantity Pricing: Order quantities that fall between our designated amounts relating to our Reseller Pricing Schedule will be priced at the preceding quantity price.
Data Protection: Plastic Passport warrants that all Customer information provided in the course of placement and fulfilment of Customer Orders is kept by Plastic Passport in a secure environment and no information will be provided to third parties outside the Plastic Passport group, without the Customer’s express written permission. Rights to Promotion: By placing an order with Plastic Passport you give Your permission to Plastic Passport to use a sample of the job in its catalogue or other advertising media, unless specifically requested not to so by the Customer at the time of placing the Customer Order.
Complaints: We aim to provide outstanding customer service. If you have any complaint regarding the service You have received from Plastic Passport, please don’t hesitate in contacting our Customer Service Department at feedback@plasticpassport.com.
Warranties and Exclusions of Liability
Plastic Passport warrants that all Goods and Services, when delivered to the Customer, will comply with any description for them contained in the relevant Order Confirmation and with the Standard Specification for the Goods and Services.
The Customer acknowledges, agrees, represents and warrants that:
- as the use of the Goods is outside the control of Plastic Passport, the Customer is satisfied that the Goods when supplied will have the condition, characteristics, quality and attributes that will make them suitable or fit for any ordinary or special purpose required for those Goods;
- the Customer will conduct all mandatory and prudent tests and apply all mandatory and prudent quality control checks and procedures to ensure the Goods and any product that is produced from them will be without defect and suitable or fit for any purpose required for them; and
- the Customer has not relied upon any statement, representation, warranty, condition, advice, recommendation, information, assistance or service provided or given by Plastic Passport or anyone on its behalf in respect of the Goods and Services, other than those that are expressly contained in the Contract.
The Customer releases and indemnifies Plastic Passport and its officers, employees, consultants and agents from and against all actions, claims, proceedings and demands (including those brought by third parties) which may be brought against it or them, whether on their own or jointly with the Customer and whether at common law, under tort (including negligence), in equity, pursuant to statute or otherwise, in respect of any loss, death, injury, illness, cost or damage arising out of any breach by the Customer of any warranty provided by it under paragraph b) of this clause.
Except as expressly set out in the Contract and except for liability under any Prescribed Terms, to the full extent permitted by law:
- all conditions, warranties, terms and obligations expressed or implied by law or otherwise relating to the Contract or the performance of Plastic Passport’s obligations under the Contract or to any goods or services supplied or to be supplied by Plastic Passport under the Contract are excluded, except for those conditions and warranties as to title in the goods; and
- without limiting the generality of the foregoing, Plastic Passport gives no condition or warranty whatsoever as to the suitability, performance or fitness of the goods for their ordinary or any special use or purpose, and the description of the goods in any Contract or any other document shall not import any such condition or warranty on the part of Plastic Passport.
To the extent permitted by law the liability of Plastic Passport for a breach of any condition or warranty contained in the Contract including (without limiting the generality of the foregoing) any Prescribed Term implied into the Contract is limited, at Plastic Passport’s option, to:
- In the case of Goods, the repair or replacement of the goods or the supply of equivalent goods or the cost of repairing or replacing the goods or of acquiring equivalent goods; and
- In the case of Services, the re-supply of the services or the payment of the cost of re-supplying the services.
To the extent permitted by law, Plastic Passport will have no liability to the Customer, however arising in respect of special, indirect or consequential damages, loss of profit (whether direct or indirect) or loss of business opportunity arising out of or in connection with the Contract or its performance.
Force Majeure: Plastic Passport accept no liability whatsoever for the consequences of any failure or delay on its part to perform the Contract when due, to the extent that such failure or delay is due directly or indirectly to any event of force majeure. Without limiting the generality of the foregoing, this includes any liability whatsoever for any delay in completion, delivery, despatch, shipment or arrival of Goods and Services. "Event of force majeure" includes any acts of God, war, riots, strikes, lock outs, trade disputes, fires, break downs, mechanical failures, interruptions of transport, Government action or any other cause whatsoever, whether or not of a like nature to those specified above, outside the reasonable control of Plastic Passport. If there is an event of force majeure, Plastic Passport will notify the Customer of the event and the likely impact on its performance under the Contract. If the event affects the capacity of Plastic Passport to complete its material obligations under the Contract in a timely manner, Plastic Passport may by notice to the Customer terminate the Contract without any liability whatsoever on its part arising from such termination.
Notices: Any notice to be given to a Customer must be given by email to the Customer’s email address nominated on the online Customer Order Form.
Assignment: A Customer must not assign or transfer or purport to assign or transfer any of its rights or obligations under or in connection with the Contract to any other person or corporation whatsoever.
Sub-Contract: Plastic Passport reserves the right to sub-contract the performance of any Contract or part thereof to any other person or entity it may determine.
Proper Law and Jurisdiction: All Contracts made between Plastic Passport and the Customer is governed by and construed in accordance with the laws of Queensland, Australia and the Parties agree to submit to the non-exclusive jurisdiction of the Queensland Courts.
Cost Recovery: Any expenses, costs or disbursements incurred by Plastic Passport in recovering any outstanding money owing by the Customer, including all debt collection fees and all solicitors costs payable by Plastic Passport must be paid in full by the Customer.
